Corporate Law Clerk

Robert Half Legal is looking for a Corporate Law Clerk for a firm in downtown Toronto.

Your job duties will include:

- Monitor and complete corporate filings for all provinces, territories including business names, insurance, annual returns, etc.;
- Prepare annual reporting and new and existing licensing documents;
- Liaise with corporate regulators regarding filing requirements, prepare and amend resolutions and incumbency certificates, report all changes to OSFI compliance filings;
- Assist in preparation for the quarterly board meetings, maintain Corporate Minute Books, maintain a Regulatory Compliance Management System, monitor legislation and regulatory changes that may affect the business;
- Act as first point of contact for internal inquiries and forward to Corporate Secretary or Chief Compliance Officer.

- Proven experience in corporate law with a focus on regulatory compliance filings, such as SEDAR, SEDI, TSX SecureFile, and minute books;
- Proficiency with Microsoft Office
