Corporate Lawyer

LiveWell Canada Inc. (“LiveWell”) is an innovative public Canadian company (listed on the TS X Venture Exchange) driven by the constant desire to develop a new approach to health and well-being. As well as conducting advanced research on CBD, cannabidiol, and other cannabinoids, in its specifically designed world-class Research and Innovation Center in Litchfield, Quebec, the company’s dual mission also includes developing and distributing strategic products, such as oils, orals, topicals, infusions and edibles made with this natural molecule. 

We are currently seeking an experienced and organized individual with a minimum 7 years of experience in Business Law, including mergers and acquisitions, leasing, financing and corporate restructuring, estate and real estate law gained from another leading law firm or top-tier boutique.

 As a lawyer, you will be responsible for all aspects of corporate and commercial law, such as drafting and solidifying documentation related to transactions, reorganizations, shareholder agreements, commercial contracts, legal opinions, business start-ups, trust agreements, as well as carrying out various other mandates. You will have the following responsibilities but not limited to;


  • Review, draft and negotiate various commercial agreements (mergers, acquisitions, partnerships, specific agreements, etc.)
  • Enter and maintain important contractual data, particularly after full performance of the contract;
  • Review, drafts and negotiate various agreements with customers, suppliers and business partners;
  • Assist the company’s Procurement Department in the review and negotiation of various agreements;
  • Assist in intellectual property matters (patents, trademarks, trade names);
  • Ensure legality of publicity, press releases and other;
  • Assist in due diligence of transactions;
  • Recommend process improvement and tools on an ongoing basis; 
  • Review of corporate documents; and 
  • Review and update various contracts templates.



  • Member of the Québec or Ontario Bar
  • Minimum 7 years of proven experience in a law firm or as legal counsel in the business environment
  • Experience in import-export regulations (Canada, U.S. and international)
  • Experience in the cannabis, hemp or agro-food industries is an asset
  • High degree of professional ethics and integrity
  • Excellent knowledge and understanding of corporate law and procedures
  • Sound judgment and ability to analyze situations and information
  • A keen sense of business and strong interpersonal skills
  • Excellent proficiency in written and spoken English, French is an asset
  • Ability to work under pressure and multitask in an environment where priorities can change rapidly 
  • Ability to work independently and in a team
  • Adequate computer skills
  • Flexible working hours and travel required
