Corporate Law Clerk

As the Corporate Law Clerk you will work with the Legal team in the execution of their assignments, offer expertise and create required documentation for corporate commercial matters, and offer administrative services to successfully support the department.


What you’re responsible for:

  • Performing various legal and administrative duties in the area of corporate and commercial law, including coordinating, reviewing, drafting and amending corporate documents, minutes, resolutions, notices, agreements and other ancillary documents.

  • Performing due diligence reviews, including corporate minute book reviews, preparing reports, and analyzing corporate charter records to ensure compliance with governing statutes.

  • Researching and interpreting legal and technical procedures, statutes, and regulations applicable to corporate commercial practice.

  • Assisting with the preparation of materials, presentations and status reports for a variety of stakeholders.

  • Completing various administrative tasks, including meeting and travel coordination, expense reports, handling of incoming mail, processing of payments, and maintaining legal file organization.

To join our team:

  • You have up to 2-3 years of experience as a Corporate Law Clerk.

  • You have a post-secondary diploma from a Law Clerk program recognized by the Institute of Law Clerks of Ontario.

  • You have expert knowledge of law, practice and procedures, including federal and provincial corporation statutes for businesses.

  • Having Merger & Acquisition transaction experience is an asset.
