Project/Program Overview

The GDMS-I Legal Department is responsible for legal services to Canadian, UK and Italian GDMS affiliates as well as joint ventures and other properties in the Middle East and elsewhere.  The Associate Legal Counsel supports the Chief Legal Counsel GDMS International with strategic projects and other internal client based legal services and provide timely and effective legal advice in support of our international business goals.

Responsibilities

  • Work closely with Chief Legal Counsel on international commercial law projects
  • Develop internal knowledge databases on specific jurisdictions of interest (Saudi Arabia, Romania, Bulgaria, Oman, Brunei, UAE, Peru, Panama etc.)
  • Prepare, review/edit and negotiate various legal documents, including complex commercial agreements, distribution agreements, intellectual property agreements, technical agreements, license agreements, leases and contracts, as well as agreements relating to the general operation of the company, or where applicable advise
  • Commercial/ SCM team members on same;
  • Respond to requests from internal stakeholders to draft, review and comment on legal contracts and other legal documents, advising verbally or formally documenting alternatives and recommendations and facilitating desired outcomes;;
  • Provide legal advice across the organization, ensuring the understanding of issues and impacts, providing options and their associated risks and presenting a recommended approach;
  • Conduct legal research and analysis as required;
  • Work with appropriate business, financial and other internal functions to ensure appropriate due diligence and risk management; and ensure that the terms of agreements are in accordance with market forces, company policies and applicable laws;
  • Develop and implement strategies to ensure legally-compliant yet effective global commercial relationships;
  • Stay informed of significant economic, political, regulatory and market/customer developments in target jurisdictions;
  • Provide legal support globally for anti-corruption and trade compliance legal matters based on local and international regulations;
  • Prepare and update corporate policies in accordance with applicable law;
  • Performs additional duties as assigned by Chief Legal Counsel

Qualifications

  • Ability to communicate legal advice confidently and effectively in both written and oral forms to all levels of management and employees and handle highly confidential and sensitive matters;

  • Knowledge of contract law, corporate and business laws and track record in managing a variety of contracts and legal matters;

  • Experience in Defense and Aerospace marketplace, and especially trade and regulatory issues related thereto;

  • Ability to clearly and succinctly explain legal issues, legal implications and consequences of actions in understandable terms;

  • Ability to function independently to formulate and implement actions necessary to obtain desired results;

  • Team player with an ability to be decisive and tactful;

  • Excellent written and oral communication skills;

  • Proficient using Microsoft Office software

  • Ability to work on multiple tasks at once;

  • Ability to identify problems and relevant issues and take responsibility for their carriage to completion;

  • Extremely organized;

  • Ability to handle stress while remaining collegial and professional;

  • Perfect fluency in English is imperative and Knowledge of French, Italian, Spanish, Arabic or Eastern European languages an asset although not required

Education:

  • Law degree from an accredited Canadian/British law school;
  • Member of bar in the province of Ontario;
  • Articling and minimum 1-2 years experience with a major Canadian law firm
  • Additional minimum 2-3 years experience working in relevant in-house Legal/Commercial/Trade department
  • Demonstrated experience and knowledge of trade law and international commercial law issues

 

 

Minimum 10 year consecutive residence in Canada – for Canadian Secret Security Clearance
Applicants will be required to obtain/hold a valid and current Canadian security clearance to gain access to the classified spaces, information and equipment in order to perform the work associated with this position.
