Associate Corporate Counsel

Our portfolio spans multiple asset classes, including office, retail, multifamily, industrial, hospitality, self-storage and student housing in North America, South America, Europe and Asia Pacific.


BPG’s Legal & Regulatory group is responsible for corporate compliance and secretarial matters, corporate law matters, securities law and public disclosure and compliance policies and procedures. We are looking for an Associate Corporate Counsel to assist our Vice President, Legal.  Reporting to the Vice President, Legal, this is a new role to assist with our subsidiary legal management program and executing on corporate legal activities, including reorganizations.


The specific responsibilities for this position include the following:

Transactions and Advisory

  • Act as a legal resource on internal corporate initiatives, including internal reorganizations and other corporate transactions, and manage outside counsel on larger reorganizations
  • Lead responses to “know-your-client” requests from financial institutions and other partners
  • Manage regulatory corporate compliance filings and activities

Organizational Management

  • Ensure Brookfield’s internal corporate structure, including its private subsidiaries and other internal vehicles, are appropriately maintained and all filings are made on a timely basis
  • Oversee formation and dissolution of entities, minute book updates and corporate resolutions
  • Supervise updates to corporate charts, corporate information, director and officer listings and transaction lists
  • Respond to internal inquiries regarding subsidiary and corporate legal matters
  • Manage global entity management system portal
  • Develop and update policies relating to corporate secretarial and compliance matters
  • Work cooperatively with the Vice President, Legal and Assistant Corporate Secretary, a corporate secretarial staff of eight corporate law clerks and an administrative assistant
  • Other duties as may be assigned by the Vice President, Legal from time to time

Skills & Qualifications:

  • Have 3 to 5 years experience as a lawyer handling corporate law matters, preferably at a national law firm and/or at a large multinational corporation
  • A university/college degree (LLB; JD) in law and member of a provincial or state bar, along with knowledge of the Canadian or U.S. legal framework
  • Highly self-motivated and proactive; eager to take ownership over work product and able to advance work independently
  • Team-oriented; demonstrates a commitment to shared success
  • Excellent interpersonal skills and ability to develop collaborative relationships at all levels in the organization
  • Strong problem solving skills combined with attention to detail and thoroughness
  • Excellent  organizational  skills  and  capability  to  effectively  manage  priorities  while  meeting timelines
