Position Overview:

As Legal Counsel, the duties of this role will include legal research, regulatory review and analysis, the provision of legal advice, and legal drafting in line with the Canadian business strategy and regulatory requirements. This role is also a key contact in the Corporate Secretary function at RSA, ensuring the delivery of good corporate governance in compliance with best practice and internal policy. The role does not involve any insurance claims litigation.

What you will achieve in this role

You will provide legal services and advice in many areas of corporate and commercial law (including for example, procurement, advertising, privacy, contract drafting, etc.) and insurance law and regulation (insurer and broker). 
You will also support the Canadian Corporate Secretarial function and share responsibility for the overall management of the Board and Committee meeting process, including responsibility for:
• Preparing Board and Committee Agendas and all resolutions and other materials that are the responsibility of the Corporate Secretary 
• Ensuring all annual mandate and regulatory items for the Board and each Board Committee are addressed and discharged
• Manage and co-ordinate the preparation and distribution of materials for all Board and Committee meetings
• Preparation and management of minutes for all Board and Committee meetings.
You will support the development of the internal Legal function and its capabilities, including development of internal precedents, play-books and participation in providing educational seminars or other forms of training to other functions across the business.

What you bring to this role

• Law degree from a recognized law school, qualified to practice law by a provincial bar association in Canada 
• 3+ years’ experience in corporate law, either in private practice or in-house 
• Strong organizational skills, the ability to work efficiently, and to communicate effectively with both legal and business colleagues is essential
• Experience in the financial services industry, particularly with corporate and insurance law and regulation in Canada and the related OSFI guidelines is considered a huge asset
• An ability to work in French would be an asset
