We are looking for a Corporate Paralegal to join our team. We are looking for a motivated and ambitious individual to provide support to our Legal and Finance departments. The successful candidate will be responsible for various tasks related to corporate governance, public company reporting, and general corporate operational duties.  The ideal candidate will be highly organized, able to handle multiple competing demands, and has an acute attention to detail. The individual has a professional attitude and demeanor, is a team player with the ability to work independently, and has an openness to learn.

RESPONSIBILITIES:

 Corporate Governance

  • Assist in matters relating to the Board of Directors and sub-committees, including drafting minutes, agendas, director and officer annual questionnaires; organize/maintain digital minute books and other board related files; manage implementation of digital board portal
  • Support Finance team with assembly of quarterly audit committee packages
  • Support annual shareholder meetings and assist with preparation of proxy statements by coordinating with transfer agents, outside counsel, and other stakeholders
  • Prepare meeting materials and related filings for shareholder meetings
  • Complete filings for foreign subsidiaries, including annual reports and franchise returns
  • Maintain corporate governance calendar

Public Company Reporting

  • Support Legal and Finance teams in preparing and filing periodic reports on Edgar and Sedar, including 10-Ks, 10-Qs, 8-Ks, annual proxy, and material change reports
  • Prepare and file Insider Reports for directors and executive officers
  • Support Finance team with compliance with debt covenants including preparation and delivery of compliance certificates and periodic reports to lenders

Contract Lifecycle Management

  • Populate and maintain contracts database and support lifecycle management system; provide regular updates of key contract deadlines, auto-renewals, and projected expirations
  • Support maintenance of library of standardized form documents, contract clauses, and templates
  • Manage negotiation, execution and filing of confidentiality agreements

Other Duties

  • Record keeping of all documentation related to public disclosure and corporate governance
  • Preparation of other legal and corporate documents as required
  • Other duties as required to support Legal and Finance departments

QUALIFICATIONS:

  • 3+ years of experience as a corporate paralegal
  • Strong written and oral communication skills
  • Ability to exercise sound judgement and discretion handling confidential matters
  • Previous experience with public company corporate governance and SEC reporting
  • Strong attention to detail and ability to ensure accuracy with large documents
  • Ability to multitask, stay organized and manage priorities
  • Ability to work independently and in a team setting
  • Proactive self-starter who understands the details within a broader context
  • Ability to interact with all internal and external parties in a professional and respectful manner
  • Ability to maintain calm and methodical in fast-paced environment with tight deadlines
