Purpose:

To create and maintain valuable content for Practical Law Canada (PL Canada) – Commercial Transactions Service, in order to satisfy customer needs and ensure corporate revenue targets are met.

 

This position is responsible for:

  • monitoring legal, practice and/or major market developments in Canadian commercial law;
  • drafting, writing, editing and maintaining commercial transactions content, including standard documents and standard clauses containing instructive drafting notes, practice guidance notes and checklists, all in accordance with PL Canada writing standards;
  • leveraging existing databases for content and revising accordingly to align with Canadian law and practice;
  • developing ideas for new content to be published on PL Canada – Commercial Transactions;
  • participating with the Commercial Lead to develop and sustain relationships with law firm contributors providing third party content;
  • participating with Commercial Lead to develop and sustain relationships with law firms, lawyers, in-house counsel and industry groups to ensure content is current, topical and responsive to their needs;
  • participating with Commercial Lead to assist the sales team on sales calls and service demonstrations for potential subscribers; and
  • participating with Commercial Lead to assist the marketing team on webinars and creation of educational programs.

 

You will be a strong team player and will possess:

  • a Canadian law degree;
  • membership in the bar of Ontario, Alberta or British Columbia;
  • a minimum of ten years’ experience working as a commercial lawyer in a large or mid-sized Canadian law firm;
  • enthusiasm, with a desire to improve the efficiency of legal services;
  • a good understanding of the needs and priorities of law firms and in-house counsel and the Canadian legal market;
  • Excellent drafting and writing skills, including:
  • very close attention to detail;
  • impressive command of grammar, punctuation and plain English;
  • the ability to write about complex legal issues clearly and simply.
  • Expertise in all aspects of commercial law generally, optimally including:
  • intellectual property law;
  • general contract principles and boilerplate (standard provisions in all transactional matters);
  • confidentiality and non-disclosure agreements and provisions (including non-solicitation and non-compete restrictive covenants);
  • supply of goods and services arrangements, including manufacturing, distribution, logistics, warehousing, bills of lading and reseller transactions;
  • privacy and data security;
  • insurance;
  • advertising and marketing;
  • consulting, sales representative and professional services arrangements;
  • e-commerce and technology transactions.
  • Significant practice experience in one or more of the following areas is an advantage:
  • e-commerce and technology (with an emphasis on technology transfers and licensing);
  • privacy and data protection;
  • cybersecurity;
  • social media;
  • outsourcing;
  • advertising and marketing;
  • trade finance and security (including international trade (import/export regulations);
  • consumer protection;
  • intellectual property;
  • government contracting and procurement;
  • legal research, writing and editing.
  • Other competencies include:
  • strong analytical, problem-solving and issue resolution skills;
  • strong planning and organizational skills;
  • strong verbal communication skills for presentations and webinars;
  • entrepreneurial and leadership abilities;
  • the ability to react with urgency and devote high levels of time and energy where deadlines require;
  • familiarity with electronic research techniques; and
  • proficiency with use of PC technology (MS Office).
