Overview of the opportunity:

The newly created Business Law group of KPMG Law LLP, which focuses on legal advisory services relating to commercial entities and transactions, is looking for a confident and driven Corporate Law Clerk to join its group in our Toronto office. Our Business Law group provides legal advice with respect to private mergers and acquisitions, complex reorganizations, and general corporate and commercial matters.

What you will do:

  • Perform a variety of complex and routine legal and administrative duties while coordinating and assisting lawyers with assigned matters.
  • Drafting share provisions, articles of incorporation, articles of amendment, articles of continuance, organization, annual maintenance and compliance, dividends and dissolutions, forming limited partnerships and registering business names.
  • Drafting closing agendas and document lists and documents relating to tax reorganizations and other corporate and commercial transactions.
  • Liaising with internal and external clients in professional manner.
  • Maintaining minute books and drafting rectification documents.
  • Conducting searches.

What you bring to the role:

  • A minimum of 5 years of corporate law experience
  • An undergraduate university degree and/or a college Law Clerk diploma with excellent academic credentials
  • Strong organizational skills and attention to detail
  • Decisiveness and the ability to balance the demands of an emerging practice
  • Excellent communication skills
  • Strong MS Office skills
